Are the owner or otherwise have all necessary rights in or to the Materials to make use of them in the manner contemplated by the instructions you are sending to us; and
That such use of the Materials by you and by us does not violate any right of any third party, including, but not necessarily limited to, rights in copyright, trademark, publicity, or otherwise.

You shall indemnify and hold us harmless against any loss, injury, or damage based upon any third party claim arising out of a breach of the above representations and warranties. You acknowledge that you have sufficient insurance to cover these indemnification obligations. You acknowledged that we may refuse the submission of any Materials in our sole discretion, without explanation to you.
